Ca exam foundation paper busiiness law 2025 January examinations

Madhusri Karmakar 10th Jun, 2025

The Business Laws paper (Paper 2, Section A) is an important paper for the CA Foundation January 2025 examinations. Here’s a comprehensive look at what you need to know:

  1. Syllabus (Relevant for January 2025 as per New Scheme of Education and Training by ICAI):

The business laws paper is under “ PAPER 2: Business laws and Business Correspondence and Reporting ”. It includes Business Laws (Section A) carrying 60 marks out of 100 marks allotted for Paper 2. The course syllabus recommends legislation like the following:

  • The Indian Contract Act, 1872: It is a basic and most scoring section. It covers:
  • Nature of Contracts (Offer, Acceptance, consideration, Capacity of parties, Free consent, Legality of object)
  • Performance of Contract
  • Breach of Contract and its Remedies
  • Contingent and Quasi-Contracts
  • Special Contracts: Contract of Indemnity and Guarantee, Bailment and Pledge, and Agency
  • The Sale of Goods Act, 1930
  • Formation of the Contract of Sale
  • Conditions and Warranties
  • Transfer of Ownership and Delivery of Goods
  • Unpaid Seller and his Rights
  • The Indian Partnership Act, 1932 contains :
  • General Nature of the Partnership
  • Relations of Partners
  • Registration and Dissolution of a Partnership
  • The Limited Liability Partnership Act,2 2008
  • Introduction to LLP, features, characteristics and comparisons with other form of establishments
  • Incorporation
  • The Companies Act, 2013
  • Essential Features of a Company
  • Corporate Veil Theory
  • Classes of Companies
  • Types of Share Capital
  • Incorporation of a Company
  • Memorandum of Association and Articles of Association
  • Doctrine of Indoor Management
  • The Negotiable Instruments Act, 1881
  • Definition & Features of Negotiable Instruments (PN, BOE, Cheques)
  • Sections respecting negotiation, presentment and rules of compensation
  • Indian Regulatory System: About general introduction of major regulatory authorities applicable on business in India such as Ministry of Finance, SEBI, IBBI, Ministry of Corporate Affairs, RBI and Ministry of Law and Justice.

  1. Pattern of the Examination for January 2025

  • Format: Business Laws (Paper 2, Section A) is subjective. This means you will have to compose descriptive answers, study case laws and understand legal provisions
  • Duration: The duration of Paper 2 (Business Laws & Business Correspondence and Reporting) is 3 hours
  • Maximum Marks: There are 60 marks for Business Laws
  • Marking Scheme: Subjective type papers (Paper 1 and Paper 2) are devoid of negative marking
  • Types of Questions: Usually the paper is a combination of:
  • Case Study Examination Questions: You can answer questions by applying legal knowledge to given fact scenarios
  • Conceptual/Descriptive Questions: Definitions, explanations, differences, etc
  • Distinguish the Questions
  • Short Notes
  • Passing Requirement: To clear the CA Foundation exam, you have to score 40% marks in each paper (including Business Laws) and 50% marks in aggregate in all four papers.

  1. Preparation Tips for January 2025 Cross-Ex Exam

  • Have Deep Understanding of Concepts: As the paper is subjective and frequently involve case studies just memorizing won’t be useful. Concentrate on getting the gist of the law, including its exceptions, and you will be prepared to apply it.
  • ICAI Study Material: Study material provided by ICAI is the most authentic and complete. Stick to it diligently.
  • Practice Cases: It’s important. Solve as many case studies as possible from the ICAI study material, past year papers and RTPs (Revision Test Papers)/MTPs (Mock Test Papers). You will learn to be an independent thinker and writer.
  • Do Section Numbers (Optional but Helpful): Though it was not essential for every solution that you are providing, quoting section numbers (especially in regularly queried provisions like Indian Contract Act) can fetch you few extra marks and would make you look like a person who knows the subject well.
  • Write in Points: While answering descriptive questions, always write your answers in a very clear and concise manner, point-wise. Provide reader friendly headings and subheadings.
  • Time Management: Try to write answers within the time duration. Allot time for each question while you practice and try a few mocks.
  • Revision: Consistent revision is the secret to what all you read. Keep short notes or flashcards for rapid recall.

If you concentrate on these facets and practice regularly, you can highly prepare for CA Foundation Business Laws paper for Jan 2025 exams.
